Dublin-based C&C group has announced the appointment of Jill Caseberry, Helen Pitcher and Jim Thompson to its management board as independent non-executive directors.
Caseberry and Pitcher assumed the new role on 7 February, while Thompson will join the board on 1 March.
Chairman of the group, Stewart Gilliland, said, “We are delighted that Jill, Helen, and Jim are joining the Board of C&C. They bring to the Board a wealth of experience and expertise, which will be invaluable to the Group.
"The recent changes to the C&C Board ensure that it has the right balance of skills and experience for the long term development of the Group."
The board has also confirmed the appointment of Mark Chilton as company secretary and group general counsel.
Board Changes
The new appointments follow the stepping down of Geoffrey Hemphill and Richard Holroyd.
Hemphill and Holroyd are scheduled to leave the board on 1 May 2019 and 31 May 2019 respectively.
Joris Brams will also part ways from the board on 28 February 2019.
The company has said that it is negotiating the terms of a consultancy arrangement with Brams in relation to the development of the group’s Belgian beer brand, Heverlee.
A Team Of Experienced Professionals
Caseberry is an industry expert with extensive sales, marketing and general management experience across a number of blue-chip companies including Mars, PepsiCo, and Premier Foods.
Presently, Pitcher is the chair of the advisory board and the remuneration committee of Pladis Global. She is also a non-executive director at United Biscuits - a subsidiary of Pladis Global.
She is a part of the boards of many organisations and committees in several capacities, and is also the president of the INSEAD global directors network.
Thompson has more than 30 years of investment management experience in the US, UK, and Canada.
Presently, he is the managing principal at Kingfisher Single Family Office and serves on the board of directors of Millicom International Cellular SA.
Chilton was the company secretary and general counsel of Booker Group plc from 2006 until 2018.
Committee Members
The company has also outlined the new composition of the board's audit, remuneration and nomination committees, effective 1 March.
The audit committee will be chaired by Emer Finnan, and comprise Vincent Crowley and Jim Thompson.
Stewart Gilliland will be the chairman of the nomination committee, and have
Emer Finnan and Richard Holroy as members.
Helen Pitcher will chair the remuneration committee, which will include Jill Caseberry and Vincent Crowley.
